Acceptance of Terms

By accessing or using Vendii, you agree to these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Vendii. If you are using Vendii on behalf of a business, you represent that you have authority to bind that business.

Eligibility & Age Requirements

You must be at least 18 years of age and legally able to enter into contracts to use Vendii. If you are 16 or 17, you may use the platform only with the consent of a parent or legal guardian. By registering, you confirm that you meet these requirements.

Vendors and coordinators must be legally authorized to conduct business in the jurisdictions where they operate. This includes holding any required business licenses, permits, and tax registrations under applicable federal, state, and local laws.

User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information during registration and keep it current. Vendii offers three account types:

  • Event Coordinators — publish and manage events, review vendor applications, configure booth layouts, and set pricing.
  • Vendors — create business profiles, apply to events, upload compliance documents, and manage permits.
  • Event Goers — discover events, view vendor directories, and leave verified reviews.

Coordinator Responsibilities

As an event coordinator, you are solely responsible for:

  • Obtaining all permits, licenses, and approvals required to host your event under applicable federal, state, county, and municipal laws.
  • Ensuring your event complies with the Americans with Disabilities Act (ADA), fire safety codes, capacity limits, and public health regulations.
  • Setting accurate vendor requirements, booth fees, and event details.
  • Reviewing vendor applications and compliance documents in good faith.
  • Providing a safe venue, including adequate sanitation, emergency access, and crowd management.
  • Complying with state consumer protection laws regarding event cancellations and refunds. See our Refund Policy.

Vendii does not verify coordinator permits and is not responsible for events that fail to comply with local regulations.

Vendor Responsibilities

As a vendor, you are solely responsible for:

  • Maintaining all required permits, licenses, and certifications for every state and county where you operate, including but not limited to health permits, food handler certifications, sales tax certificates, business licenses, liability insurance, and fire safety certifications.
  • Complying with FDA Food Code, USDA regulations, state cottage food laws, and local health department requirements applicable to your product category.
  • Ensuring all products you sell are safe, properly labeled, and legally compliant — including allergen disclosures, nutrition labeling, and ingredient transparency where required.
  • Carrying adequate general liability and product liability insurance for your business activities.
  • Keeping your compliance documents current and uploading accurate, unexpired permits to the Vendii document vault.
  • Collecting and remitting all applicable sales taxes in jurisdictions where you make sales.

Important: Vendii's compliance tools and AI-generated guidance are informational only and do not constitute legal or regulatory advice. You are responsible for verifying all requirements with the appropriate authorities.

Compliance with Laws

You agree to comply with all applicable federal, state, county, and municipal laws and regulations in all 50 U.S. states, the District of Columbia, and U.S. territories (Puerto Rico, U.S. Virgin Islands, Guam, American Samoa, and the Northern Mariana Islands). This includes but is not limited to:

  • Federal: FDA Food Safety Modernization Act (FSMA), USDA regulations, FTC advertising guidelines, ADA, CAN-SPAM Act, Children's Online Privacy Protection Act (COPPA), and IRS tax reporting requirements.
  • State: health department permits, food handler certifications, cottage food laws, sales tax registration, alcohol licensing, and event permitting requirements, which vary by state.
  • Local: county health department inspections, fire marshal approvals, zoning and use permits, and municipal event licenses.

Vendii provides a state-by-state compliance reference tool to help you identify common requirements, but this tool is not exhaustive. You must independently verify all requirements with the relevant authorities for your specific business and location.

AI-Generated Content & Disclaimers

Vendii uses artificial intelligence to assist with event descriptions, compliance guidance, and content enrichment. The following disclaimers apply to all AI-generated content:

  • Not legal advice: AI-generated compliance and permit guidance is informational only and does not constitute legal, regulatory, or professional advice.

Payments, Fees & Billing

Vendii offers subscription plans for coordinators and vendors, as well as per-event booth fees and application fees. By making a payment, you agree to the following:

  • Subscription fees are billed monthly through our payment processor (Base44 Payments / Wix). You authorize recurring charges until you cancel.
  • Booth fees and application fees are charged per event and are non-refundable except as described in our Refund Policy.
  • You are responsible for all taxes associated with your transactions.
  • Vendii may charge platform transaction fees and commissions on booth fees, as disclosed at the time of payment.
  • Disputes or chargebacks must be initiated through our support team before contacting your card issuer.

Reviews & Ratings

Vendii allows verified event-goers and coordinators to leave reviews for vendors. By posting a review, you agree that:

  • Your review is based on your genuine, first-hand experience.
  • You will not post false, misleading, defamatory, or retaliatory content.
  • You will not accept payment or incentives in exchange for reviews.
  • Vendii may remove reviews that violate these Terms or applicable law.

Reviews are subject to the FTC Endorsement Guides and state consumer protection laws. Vendii is not liable for the content of user reviews but will investigate reported violations.

Prohibited Conduct

You agree not to:

  • Publish false, misleading, or fraudulent event or vendor information.
  • Upload forged, expired, or falsified compliance documents or permits.
  • Sell illegal, unsafe, counterfeit, or recalled products.
  • Operate without required licenses, permits, or insurance.
  • Harass, discriminate against, or harm other users.
  • Use the platform to launder money, evade taxes, or facilitate illegal activity.
  • Scrape, copy, or redistribute platform data without authorization.
  • Interfere with the platform's security, availability, or integrity.

Violations may result in account suspension, content removal, and referral to law enforcement.

Limitation of Liability

Vendii is a platform that connects coordinators, vendors, and event-goers. We are not a party to any transaction between users and do not guarantee the quality, safety, or legality of any event, vendor, or product.

To the maximum extent permitted by law, Vendii and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the platform — including damages arising from AI-generated content, compliance guidance, vendor-coordinator transactions, or reliance on user-submitted information.

Some states do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Vendii and its affiliates from any claims, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees — arising from:

  • Your use of the platform or violation of these Terms.
  • Your breach of applicable laws, regulations, or third-party rights.
  • Your operation as a vendor or coordinator, including any injury, illness, or property damage at your event or booth.
  • Your reliance on or use of AI-generated content.
  • Any content you post, including reviews and compliance documents.

Dispute Resolution

Any dispute arising from these Terms or your use of Vendii shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in the state where you reside.

You and Vendii agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The Federal Arbitration Act governs this provision.

Changes to Terms

We may update these Terms from time to time. For material changes, we will provide notice within the app or by email. Your continued use of Vendii after changes take effect constitutes acceptance of the updated Terms.
